Acceptance of These Terms

DFNDR Technologies, Inc. (“DFNDR,” “we,” “our,” or “us”) provides a software-as-a-service platform that helps security companies manage guards, schedules, shifts, sites, reports, clients, messaging, billing, and related operations through dfndr.app, our web app, mobile app, admin dashboard, guard portal, and client portal (collectively, the “Service”).

These Terms of Service (“Terms”) form a binding agreement between DFNDR and the individual or entity that accesses or uses the Service (“you” or “Customer”).

By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

The Service

DFNDR provides workforce and operations management tools for security companies, including guard and client directories, scheduling, clock in and clock out, service reports, messaging, live operational visibility, and administrative dashboards.

We may add, change, or remove features from time to time as we maintain and improve the Service.

Eligibility and Accounts

  1. You must be at least 18 years old and able to form a binding contract to use the Service.
  2. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential.
  3. You are responsible for all activity under your account, including the activity of users your administrators add to your workspace.
  4. Notify us promptly at support@dfndr.app of any unauthorized use of your account.

Customer Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms and applicable laws. You agree not to:

  1. misuse, interfere with, or disrupt the Service or its security features;
  2. attempt to gain unauthorized access to any account, system, or data;
  3. upload or share unlawful, infringing, or harmful content;
  4. use the Service to violate the privacy or legal rights of others;
  5. reverse engineer, copy, or resell the Service except as permitted by law.

You are responsible for obtaining any consents required to collect and process data about your guards, clients, and personnel through the Service, including location data where that feature is enabled.

Subscriptions, Trials, Fees, and Billing

  1. The Service is offered on a subscription basis. Applicable plans, fees, and billing cycles are presented at signup or in an applicable order.
  2. We may offer a free trial. Unless you cancel before the trial ends, your subscription may convert to a paid plan as described at signup.
  3. Fees are billed in advance and, except where required by law, are non-refundable.
  4. You authorize DFNDR and its payment processor to charge your payment method for applicable fees. Taxes may apply.
  5. We may change fees on a prospective basis with notice as required by law.

Customer Data and Privacy

“Customer Data” means the data you or your users submit to the Service. As between the parties, you retain ownership of your Customer Data.

You grant DFNDR a limited license to host, process, and use Customer Data to provide, secure, and improve the Service. Our handling of personal information is described in our Privacy Policy.

You are responsible for the accuracy and legality of your Customer Data.

Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by DFNDR and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. The DFNDR name and logo are trademarks of DFNDR and may not be used without our permission.

Third-Party Services

The Service may integrate with third-party services such as hosting, authentication, payments, email, and messaging providers. Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

Term and Termination

  1. These Terms remain in effect while you access or use the Service.
  2. You may stop using the Service and cancel your subscription as described in the Service or by contacting support@dfndr.app.
  3. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Service in a way that creates risk or legal exposure.
  4. Upon termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

DFNDR does not warrant that the Service will be uninterrupted, error free, or completely secure. The Service is a management tool and is not a substitute for your own security operations, professional judgment, or legal and regulatory compliance.

Limitation of Liability

To the maximum extent permitted by law, DFNDR will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.

To the maximum extent permitted by law, DFNDR’s total liability arising out of or relating to the Service will not exceed the amounts you paid to DFNDR for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold DFNDR harmless from claims, damages, and expenses arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.

Changes to These Terms

We may update these Terms from time to time. Updates will appear on this page with a new “Last Modified” date.

Your continued use of the Service after updates means you accept the revised Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Washington, without regard to its conflict of laws rules. The state and federal courts located in Washington will have jurisdiction over disputes arising out of these Terms, unless otherwise required by applicable law.
